1. Acceptance of Terms
By accessing or using NIRVIAN's services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Services Provided
NIRVIAN offers:
- Web and mobile application development
- AI and machine learning solutions
- Cloud infrastructure and DevOps services
- Digital marketing and SEO
- IT consulting and staff augmentation
All services are subject to separate project agreements and proposals.
3. Client Responsibilities
You agree to:
- Provide accurate information and project requirements
- Respond to communications in a timely manner
- Make payments according to agreed schedules
- Provide necessary access, credentials, and resources
- Review deliverables and provide feedback promptly
4. Payment Terms
- Deposits: Projects require 30-50% upfront payment
- Milestones: Payments due upon completion of agreed milestones
- Late Payments: May result in project suspension after 7 days
- Currency: All prices in INR unless specified otherwise
- Taxes: 18% GST applicable on all services
5. Intellectual Property
Client Ownership: Upon full payment, clients own the final deliverables and custom code.
NIRVIAN Retains: Rights to reusable frameworks, templates, and pre-existing IP. We may showcase completed projects in our portfolio unless otherwise agreed.
6. Project Timeline
Timelines are estimates and may vary based on project complexity, client feedback, and unforeseen circumstances. Delays caused by client unavailability or scope changes may extend delivery dates.
7. Warranties and Disclaimers
- Quality: We provide services with reasonable care and skill
- No Guarantees: We cannot guarantee specific business results or ROI
- Third-Party Services: Not responsible for third-party platform issues
- Testing: Clients must test and approve deliverables before launch
8. Limitation of Liability
NIRVIAN's liability is limited to the total amount paid for the specific project. We are not liable for indirect, incidental, or consequential damages including lost profits or data loss.
9. Termination
Either party may terminate with 15 days written notice. Upon termination:
- Client pays for work completed to date
- NIRVIAN delivers work-in-progress files
- Confidential information must be returned
10. Confidentiality
Both parties agree to keep confidential information private and use it only for project purposes. This obligation survives termination of services.
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved in the courts of Guwahati, Assam.
