Terms of Service

1. Contractual Agreement

By commissioning NIRVIAN ("The Studio", "We", "Us") for web engineering, SEO, or AI integration services, the Client ("You") agrees to be legally bound by these Terms of Service. A bespoke Statement of Work (SOW) or written agreement via email/WhatsApp will supersede these terms in the event of a direct conflict.

2. Execution of Services

NIRVIAN provides specialized technical services including, but not limited to:

• Custom Next.js & React Web Engineering
• Google Business Profile Ranking & Local SEO
• E-Commerce Architecture
• AI Chatbot Integrations

3. Financial Obligations

• Initiation: All project timelines are secured only after the receipt of a 60% non-refundable advance payment.
• Deployment: The final 40% balance is strictly due upon project approval, prior to migrating the asset to the live domain.
• Taxation: As a GST-registered entity (18BCGPM0939M1Z6), an 18% GST is applicable to all services unless explicitly exempted by law.
• Delinquency: Failure to remit final payments within 7 days of invoice may result in project suspension or takedown of hosted assets.

4. Intellectual Property Rights

Client Ownership: Upon clearance of all invoices, the Client assumes full ownership of the final deployed code, graphics, and textual content specific to their business.

Studio Rights: NIRVIAN retains the right to utilize proprietary frameworks, pre-existing code blocks, and deployment scripts. Furthermore, NIRVIAN reserves the irrevocable right to feature the completed project in our public portfolio and case studies.

5. Client Responsibilities

The Client must provide timely access to necessary assets (logos, copy, API keys, domain DNS) to adhere to the agreed timeline. Delays in client feedback or asset delivery will result in a proportional extension of the project deadline.

6. Limitation of Liability

NIRVIAN engineers assets to the highest modern standards. However, we cannot guarantee specific algorithmic rankings, sales volumes, or immunity from third-party server outages (e.g., AWS, Vercel downtime). Maximum liability under any circumstance is strictly capped at the total financial amount paid by the Client for the specific project in question.

7. Governing Jurisdiction

These terms are governed by the laws of India. Any legal disputes, claims, or proceedings shall be subject to the exclusive jurisdiction of the competent courts located in Guwahati, Assam.
